Before you convert

  • At least 3 directors and at least 7 members are needed.
  • The articles of association must be altered to remove the private-company restrictions.
  • The word “Private” is removed from the company name.

Typical steps

  1. 1Board meeting to approve the conversion and call a general meeting.
  2. 2Special resolution of the shareholders to alter the articles and name.
  3. 3Filing the resolution and the conversion form (INC-27) with the Registrar of Companies.
  4. 4Receiving the fresh Certificate of Incorporation, then updating PAN, bank, GST and other records.

After conversion

Additional governance and disclosure requirements for public companies apply. Conversion does not by itself list the company on an exchange.

Common questions

Is conversion the same as an IPO?

No. Converting only changes the company's status. An IPO or listing is a separate process.
