A One Person Company lets a single individual run a business as a separate legal entity with limited liability.
Who it suits
Solo founders and consultants who want limited liability and a company structure without bringing in a second shareholder.
Basic requirements
- One member (shareholder) and at least one director; the member can also be the director.
- A nominee who takes over if the member is unable to continue.
- A company name ending with “(OPC) Private Limited”.
- A registered office in India.
- Eligibility conditions around residency apply to the member and nominee, so check these before applying.
The process
It follows the same MCA route as a company: DSC, name approval, the incorporation form with MOA and AOA, and the Certificate of Incorporation. Registration typically takes 7–10 working days.
Yearly compliance
An OPC keeps books of account, appoints an auditor, files annual financial statements and annual return with the Registrar, and files its income tax return.
Common questions
Can an OPC take on investors?
Not as an OPC. To add shareholders or investors, it would normally be converted into a Private Limited Company.
